President and Chief Executive Officer
A leader in global logistics, William J. Flynn is the President and Chief Executive Officer of Atlas Air Worldwide Holdings, Inc. (AAWW). He also sits on the Company's Board of Directors.
Mr. Flynn is a seasoned executive who has held senior management positions with leading transportation companies. Before joining AAWW, Mr. Flynn served as President and Chief Executive Officer of GeoLogistics Corporation, a leading global freight forwarding and logistics company. There, he led the company's turnaround to profitability and orchestrated its successful sale in 2005.
From 2000 to 2002, Mr. Flynn held several senior positions at CSX Corporation, including Senior Vice President of Strategic Planning and Senior Vice President at CSX Transportation, the company’s railroad unit.
Previously, Mr. Flynn spent a number of years with Sea-Land Service, Inc., a subsidiary of CSX Corporation, where he held a variety of senior management positions in Asia, Latin America and the United States.
John W. Dietrich
Executive Vice President and Chief Operating Officer
John Dietrich was appointed Executive Vice President and Chief Operating Officer of Atlas Air Worldwide Holdings, Inc. (AAWW) in September 2006. In that role, he oversees all aspects of AAWW's operations, including Flight Operations, Technical Operations, System Control, Procurement, Worldwide Ground Operations and Safety. Prior to his appointment, Mr. Dietrich had been the Company's General Counsel and Senior Vice President of Human Resources.
Mr. Dietrich joined AAWW in 1999 as Associate General Counsel. In March 2003, he was named Vice President and General Counsel, and later that year assumed additional responsibility for the Company's Human Resources and Corporate Communications functions. In February 2004, he was promoted to Senior Vice President.
Prior to joining AAWW, Mr. Dietrich spent 13 years at United Airlines, seven of those as a litigation attorney. At both United and AAWW, he was responsible for providing legal counsel to all levels of management, and served as an advisor to operations management on issues related to labor, safety, reliability and efficiency.
Michael T. Steen
Executive Vice President and Chief Commercial Officer
Michael T. Steen is responsible for all aspects of the Company's global sales and marketing activities, including strategy, new products and services, brand positioning and marketing communications. He joined the company in April 2007. He was appointed Executive Vice President in 2010.
Mr. Steen has extensive experience in air cargo and logistics, having served as Senior Vice President of Sales and Marketing for EXEL Freight Management and Technology Sector and Vice President for the Americas for KLM Cargo.
Mr. Steen led the sales and marketing activities for Exel Freight's management and technology sector. Following Exel's acquisition by Deutsche Post World Net, he held senior-level positions with the merged company in global supply chain logistics.
As a veteran air cargo executive, he served in a variety of roles with KLM Cargo over 11 years. In addition to Vice President of the Americas, he was head of global sales and marketing for the logistics business unit and Director of Sales for northern Europe.
Adam R. Kokas
Senior Vice President, General Counsel, Chief Human Resources Officer and Secretary
Adam Kokas is responsible for directing the company's legal and regulatory affairs, as well as overseeing all corporate governance matters. He joined AAWW as Senior Vice President, General Counsel, and Secretary in October 2006. He has since taken on responsibility for the company's human resources department.
Mr. Kokas joined AAWW from Ropes & Gray LLP, where he was a partner in its Corporate Department, focusing on general corporate, securities and business law. Prior to joining Ropes & Gray, Mr. Kokas was a partner at Kelley Drye & Warren LLP, where he joined as an associate in 2001. At both Kelley Drye and at Ropes & Gray, Mr. Kokas had represented AAWW in a variety of matters, including corporate finance transactions, corporate governance matters, strategic alliances, securities matters, and other general corporate issues.
Spencer Schwartz
Senior Vice President and Chief Financial Officer
Spencer Schwartz is the company's CFO, responsible for all financial and information technology (IT) functions, including investor relations, financial reporting, accounting, financial planning and analysis, treasury, internal audit, tax, business resiliency and IT. He was named to the position in June 2010.
Mr. Schwartz joined AAWW as Vice President and Controller in 2008. He is a certified public accountant with broad experience in financial management, risk analysis, strategic planning, accounting, budgeting, forecasting, financial analysis, auditing, tax and related disciplines.
Prior to AAWW, Mr. Schwartz was employed for more than 12 years by MasterCard Incorporated where he served as Group Head of Global Risk Management; Senior Vice President and Business Financial Officer; Senior Vice President, Corporate Controller and Chief Accounting Officer; and Vice President of Taxation.
Tony Carder
Vice President, Sales and Marketing, Europe, Middle East, India & Africa
Tony Carder was named Vice President Sales and Marketing for Europe, the Middle East, India and Africa in 2009. Mr. Carder joined Atlas Air in June 2001 and became Senior Director of Sales and Marketing, Europe, Middle East, India & Africa in October 2002. Based in London, Mr. Carder is responsible for all Atlas commercial activities in the EMEIA region, including sales and marketing, customer relationships, operational performance and business administration.
Jeffrey Carlson
Vice President, Flight Operations
Jeffrey Carlson was named Vice President of Flight Operations in September 2008.
A veteran captain, Mr. Carlson joined AAWW from Spirit Airlines, where he served as vice president of flight operations. He is responsible for all of flight operations, including hiring, training, operations control, flight dispatch and crew scheduling at both Atlas Air and Polar Air Cargo Worldwide.
Mr. Carlson, a former chief pilot and vice president of flight operations at Northwest Airlines, has more than 15,000 hours of flying time on numerous aircraft, including the Boeing 747-400, a type operated by both Atlas and Polar. Among his achievements at Northwest, he partnered with Boeing to launch the Boeing 747-400 training program, which remains the industry standard today.
Lawrence B. Gibbons
Vice President, Procurement
Larry Gibbons is responsible for working closely with all AAWW departments to develop and execute a comprehensive procurement strategy for the Company. He was named Vice President of Procurement for AAWW in February 2006.
Mr. Gibbons previously worked for Atlas Air, Inc., from 1996 to 2001, first as Director of Material Management/Purchasing and then as Vice President of Purchasing. Later, he was Vice President of Contracts and Properties for Eos Airlines, Inc., where he was responsible for acquiring all goods and services. Prior to that, he was Program Manager for Lockheed Martin, Inc., and an Executive Consultant with Team SAI, Inc.
A career naval officer, Mr. Gibbons served, among a number of assignments, as Commanding Officer of the U.S. Navy International Logistics Control Office; Chief Operating Officer of the Naval Aviation Supply Office; and Director of Contracts for the Defense Industrial Supply Center. He also was Supply Officer aboard the aircraft carrier U.S.S. John F. Kennedy
Layne Grindal
Vice President and Deputy General Counsel
As Deputy General Counsel, Layne Grindal is responsible for a wide variety of the company's legal matters, principally concentrated on supporting the company's business development, finance and aircraft acquisition and leasing activities.
Mr. Grindal joined AAWW in 2007 from Haynes and Boone, LLP in Houston, Texas, where his practice focused on mergers and acquisitions, securities and corporate finance, corporate restructurings and other transactional matters for clients in the energy, aviation, restaurant and insurance industries.
Gregory T. Guillaume
Vice President, Strategic Development
Greg Guillaume is responsible for developing the Corporate Strategy encompassing all business areas of Atlas Air Worldwide. Previously Atlas’ VP of Financial Planning and Analysis, Greg assumed this Strategic Development role in 2012.
Greg oversees all aspects of corporate strategy including expansion of existing business segments, new products and service development, pricing strategies, geographic expansion, fleet development, partnerships and potential mergers and acquisitions. Greg is responsible for ensuring that Atlas Air Worldwide is well prepared for future growth and expansion while managing risk.

Thomas Kane
Vice President, Defense & Government Programs
Tom Kane, Major General U.S. Air Force (retired), is responsible for working closely with all AAWW departments and defense and government agencies to develop a cohesive relationship between AAWW and our defense and government partners.
A career Air Force officer, Mr. Kane served in a number of command and staff assignments. He commanded five times, including two Air Force Wings. He also held important overseas leadership positions in Europe (NATO) and in Asia (United Nations, Japan and Korea).
Most recently, Mr. Kane served as director of strategic plans, requirements and programs for the Air Mobility Command, Scott Air Force Base, Ill., where he was responsible for force structure planning and programming, doctrine and requirements for the nation's airlift and air refueling forces.
Mr. Kane was a command pilot with more than 4,400 flight hours in C-5, C-9, C-21, C-23A, C-130E, C-141, KC-10, MC-130E and T-37B aircraft.
William E. Kelley
Vice President, Safety and Regulatory Compliance
William E. Kelley is responsible for AAWW's Safety and Regulatory Compliance departments, including Quality Assurance and Quality Control, thus ensuring a continued safe and compliant operation. He was named to the position in July 2007.
Most recently, Mr. Kelley served as Senior Director of Safety/Internal Evaluation, and, from 2006-2007, had also been the acting head of AAWW Technical Operations, helping the organization deliver outstanding performance.
Mr. Kelley joined Atlas Air in 1999 as Director of Safety. He is a qualified Boeing 747 pilot and retired Air Force officer. During his 21 years in the Air Force, Mr. Kelley held various senior level positions in safety, operations and maintenance.

Bob Kiss
Vice President, Ground Operations
With over 30 years of aviation experience, Bob Kiss is responsible for ensuring the company's worldwide stations operate safely and are compliant with industry and local regulations.
Previously, Mr. Kiss was the company's Senior Director of Ground Operations Standards and Training, based at AAWW's training center in Miami. In that role he was responsible for ground operations training, dangerous goods management, and procedures standardization.
Keith Mayer
Vice President & Corporate Controller
Mr. Mayer was elected Vice President and Corporate Controller of Atlas Air Worldwide in November 2010. He is responsible for the company’s global corporate accounting, external financial reporting, divisional finance matters, operational accounting and internal control environment.
Mr. Mayer joined Atlas following a long career at PepsiCo, Inc. where, most recently, he served as Chief Financial Officer of an international coffee partnership between PepsiCo and Starbucks Corporation. He also served PepsiCo in various executive and financial capacities since 1999, including Director of External Reporting, Assistant Controller, Senior Group Manager of Financial Reporting, and Group Manager of Technical Accounting of Technical Accounting. Prior to joining PepsiCo, Mr. Mayer held financial positions of increasing responsibility with PricewaterhouseCoopers LLP from 1987.
Ed McGarvey
Vice President and Treasurer
Ed McGarvey is an experienced finance executive with a deep background in aviation finance, structured finance, and banking. Mr. McGarvey joined the company in March 2009 from HSH Nordbank, where he was Senior Vice President, Head of Aviation Americas, responsible for finance and business development for the bank's aviation finance unit.
Prior to HSH Nordbank, Mr. McGarvey was a Vice President in the Capital Markets group at GE Commercial Aviation Services (GECAS) from 1996 to 2006. He played an active role in portfolio and securitization initiatives.
As the company's Treasurer, Mr. McGarvey is responsible for capital markets and corporate finance efforts as well as banking, cash management, insurance, hedging and investor relations activities.
Graham Perkins
Vice President, Sales and Marketing, Asia - Pacific
Graham Perkins became Vice President of Sales and Marketing, Asia-Pacific, for Atlas Air, Inc. (Atlas), a subsidiary of Atlas Air Worldwide Holdings, Inc., in September of 2002. Based in Hong Kong, Mr. Perkins is responsible for all Atlas activities in the Asia -Pacific region, including sales and marketing, customer relationships, operational performance and business administration/compliance.
Before joining Atlas in 2002, Mr. Perkins spent 15 years with Air Canada and Canadian Airlines (the two airlines merged in 2000), where he managed the Asia-Pacific region and served as Country Manager in the Philippines and China, in addition to holding various head-office roles prior to moving to Asia.
Richard Ross
Vice President, Information Technology
Richard Ross joined Atlas Air Worldwide in January 2011 to head its Information Technology Department. In his role, Mr. Ross is responsible for all aspects of the company’s information technology globally.
Before joining Atlas, Mr. Ross held an array of senior positions in which he led and consulted to companies regarding the management of Information Technology and Operations functions. These positions have included CIO for Amerada Hess, the AFTRA Pension Fund and Layered Technologies, IT Project Manager for British Airways, Management Consultant for McKinsey & Company and CSC, Industry Analyst for Gartner Group and Engineer for IBM and Wang.
Kevin Sarubbe
Vice President, System Operations
As Vice President of System Operations, Kevin Sarubbe helps to ensure the fleet plan reflects the needs of customers, from planning through the completion of every flight. He is responsible for coordinating among departments, including Sales and Marketing, Maintenance, Crew Resources, Flight Operations and Ground Operations for the best possible customer experience.
Mr. Sarubbe joined Atlas Air in 1999 and has held several key management positions in areas such as Permitting and Government Affairs, where he supervised international regulatory compliance for over-flight and landing permits under Atlas Air and Polar Air Cargo route authority, and System Control, where is was responsible for managing every flight from planning to landing in the company's Global Control Center.
Mark S. Swearingin
Vice President, Technical Operations
Mark S. Swearingin is responsible for all aspects of the Company's global maintenance and engineering activities and strategy, including the most efficient means of maintaining AAWW's aircraft fleet and the most effective ways to improve maintenance costs.
Mr. Swearingin, who joined AAWW in July 2007, has a broad range of experience in aircraft maintenance and engineering. Prior to joining the Company, Mr. Swearingin served as Vice President, Technical Operations for SH&E Air Transport Consultancy, the world's largest air transport consulting firm, where he was responsible for growing the airline-managed services practice. He also has held key positions at Air Canada Technical Services, Midwest Airlines, USAirways and UPS Airlines.

Gary Wade
Vice President, Security
Gary Wade is responsible for Global Security at Atlas Air Worldwide. He joined the Company in 2002 with more than 32 years of experience in Federal Law Enforcement.
Prior to coming to Atlas, Mr. Wade served as the Special Agent in Charge of the Federal Air Marshal Service at Atlanta's Hartsfield International Airport. Previously, he was a Special Agent for the Drug Enforcement Administration for over 30 years, assigned to offices in Detroit, Miami, Washington, D.C. and Quantico, VA.
Among his assignments with the DEA was manager of DEA's Undercover Training Programs for four years and Chief of the Agency's Office of Congressional Affairs. He was subsequently selected to participate in the Department of Justice's Executive Exchange Program and was assigned for one year to FBI Headquarters as the Senior Drug Policy Advisor. Mr. Wade retired from the DEA in 2002 as the Special Agent in Charge of the DEA Training Academy in Quantico, VA.
Mr. Wade received his Bachelor's Degree in Industrial Management and Marketing from West Virginia University and attended graduate school at the University of Virginia.
Adjunct to his duties at Atlas, Air, Mr. Wade previously served on the International Association of Chiefs of Police Homeland Security Committee and the Air Mobility Command's Phoenix Mentor Program for Security Forces. He currently is the Chairman of the Cargo Airlines Security Committee, a member of the A4A Security Council, Chairman of the A4A Working Group on Cargo Security and a designated Subject Matter Expert to the Aviation Security Advisory Committee to TSA. Charles (Chuck) Windeknecht
Vice President, Internal Audit
Charles (Chuck) Windeknecht is responsible for leading the Internal Audit function: a key component of the Company's risk management process. Internal Audit is responsible for the delivery of financial, operational, information technology and legal/regulatory audits, including the annual testing for Sarbanes-Oxley compliance.

Jeff Zeunik
Staff Vice President, Financial Planning and Analysis
Jeff Zeunik oversees all aspects of financial planning and analysis for Atlas Air Worldwide. This includes budgeting, forecasting, customer pricing analyses, aircraft valuations, merger and acquisition activities, competitive analyses, and other ad hoc work associated with Atlas Air Worldwide’s growth.
Mr. Zeunik joined Atlas Air Worldwide in 2008 as Sr. Director, Financial Planning and Analysis. He was named to his current position in January 2012. Prior to joining Atlas Air Worldwide, Mr. Zeunik was Director, Finance – Construction and Real Estate for The Home Depot and before that he was with US Airways, Inc. in its Financial Planning and Analysis division.
Mr. Zeunik received a Bachelor of Science degree in Mechanical Engineering from The United States Military Academy at West Point, and a Master of Business Administration degree and Master of Engineering Management degree from Northwestern University.

Joseph K. Kelley
Staff Vice President, Human Resources
Joe Kelley is responsible for managing all aspects of the AAWW Human Resources department including Benefits, Employee Relations, HRIS and Staffing.
Mr. Kelley joined Atlas Air in August 2000. He has held positions of increasing responsibility in the Company's Human Resources department including Manager of Staffing, Director of Human Resources and Sr. Director of Human Resources. Mr. Kelley is an important asset in the strategic planning and execution of a number of company initiatives.
Mr. Kelley has a diverse background in the aviation industry. He spent over 10 years in the United States Air Force, Tactical Air Command where he was responsible for the oversight of the Structural Repair group, and a Veteran of Desert Shield and Desert Storm. He also holds degrees from both Saint Leo's College as well as the Community College of the Air Force. He is an active member of the Society for Human Resource Management.

Scott Roper
Staff Vice President of Taxation
Scott Roper is responsible for all global tax matters pertaining to Atlas Air Worldwide which include tax accounting, compliance, planning, and examination defense.
Prior to joining Atlas in 2006, Mr. Roper served in various management positions at Grant Thornton LLP, PricewaterhouseCoopers LLP and Ernst & Young LLP. He has more than twenty years of service as a tax professional.
Mr. Roper has an undergraduate degree in Hotel Administration from Cornell University, an MBA from Montclair State University, and a law degree (JD) from the University of South Carolina. He is a CPA in New York and a member of the Bar in New Jersey and South Carolina. He is on the board of Bridges to Community.
